Cardinal Health Senior Counsel - Corporate, M&A and Securities in San Juan, Puerto Rico
This position is a senior counsel role and will be part of Cardinal Health’s corporate legal team focusing on M&A transactions, securities reporting work and other corporate matters. This role will be responsible providing legal advice, counsel and related services to Cardinal Health’s corporate function in support of strategic business transactions and all aspects of securities and corporate work. Cardinal Health maintains a long track record of completing interesting and complex M&A transactions; this role will support Cardinal Health’s continued M&A activity.
What the Corporate legal team contributes to Cardinal Health
The corporate legal team provides the company with strategic, proactive, practical and cost-effective legal advice and services in order to enable the company to effect its business strategies and protect the organization's assets, operations and reputation. This function provides legal counsel related to mergers and acquisitions, corporate securities, and transactional support, among other areas.
Responsibilities
Reviewing definitive purchase and sale agreements and related ancillary agreements
Coordinating due diligence with internal stakeholders and outside counsel
Drafting and negotiating non-disclosure agreements and letters of intent
Assist commercial legal team with unique strategic commercial partnerships
Assisting in the preparation of antitrust and healthcare regulatory filings
Assisting in the preparation of certain routine SEC filings and other securities law matters, including coordination with internal stakeholders
Qualifications
Juris Doctorate degree with a record of high academic achievement
License to practice law in Ohio or licensed in the jurisdiction in which you live and work
2-5 years of transactional experience in a nationally recognized law firm or comparable in-house experience
Experience working on complex acquisitions, divestitures, joint ventures, strategic alliances, and commercial partnerships
Familiarity with regulatory filings related to M&A activity
Familiarity with public company reporting requirements, including Forms 10-K, 10-Q and 8-K
Knowledge of healthcare law is preferred
Excellent communication skills, both written and oral
Ability to work independently with minimal supervision, while acting with an appropriate sense of urgency in a fast-paced environment
Good business acumen and ability to provide advice with a strategic, commercial focus
Strong personal ethics

Anticipated salary range: $121,600 - $173,700
