What Commercial Transaction contributes to Cardinal Health

Legal provides the company with strategic, proactive, practical and cost-effective legal advice and services in order to protect the organization's assets, operations and image. This function provides legal counsel related to commercial, corporate securities, intellectual property, labor and employment, and regulatory law, among other areas. This function also litigates all company legal matters, manages outside counsel and manages legal operations.

Commercial Transaction provides legal advice, counsel and services to domestic and international businesses in support of customer, vendor, supplier, and strategic relationships, including drafting and negotiating contracts, participating in and providing input on business strategy, and otherwise acting as primary day-to-day legal contacts for business clients.

Job Summary

The Senior Legal Counsel, serves as the primary legal partner to leaders of a division within a business unit, providing counsel on legal issues and risk mitigation guidance. The Senior Legal Counsel reviews and negotiates commercial agreements with external parties on behalf of the business, protecting the business’ interests and ensuring that contracts are compliant. This job also reviews external communications to confirm legal compliance and liaises with a variety of Legal and other internal teams to resolve legal issues.

We are currently looking to fill a Senior Counsel role on the commercial legal team that supports the Cardinal Health Navista Oncology Alliance (“Navista”) and Specialty Networks (“Specialty Networks”) businesses. The ideal candidate for this position would have experience providing legal support to healthcare providers and/or healthcare management service organizations.

Responsibilities

  • Provide sound, practical judgment in the interpretation and application of relevant laws and regulations, including the Stark Law, Anti-Kickback Statute, the False Claims Act, Stark Law, HIPAA and other laws applicable to management services organization and physician practices

  • Demonstrate strong business acumen and draft and negotiate contracts in accordance with good commercial and healthcare regulatory standards.

  • Identify legal and compliance risks and escalate appropriately

  • Understand complex legal, compliance and business situations and discern relevant versus non-relevant facts and information

  • Effectively communicate with all levels of the Cardinal Health organization and provide business clients with clear and precise guidance on business, compliance, and legal risks

  • Identify and collaborate with subject matter experts from other departments, including the Legal, Regulatory, Labor & Employment, Privacy, and Compliance teams

  • Identify opportunities for process improvements and efficiencies

  • Develop and conduct legal training for business clients

  • Work under the general supervision of senior attorneys and exercise sound judgment as to matters that require the attention senior leadership

  • Promote and ensure compliance with Cardinal Health’s Business Code of Conduct, as well as other company policies and procedures

  • Proactively develop and maintain legal knowledge in specialized area(s), remaining up to date on current regulations, cases, trends, and best practice

Qualifications

  • 8-12 years of experience, preferred with at least 5 years of experience preferably in a nationally recognized law firm, including at least 3 years of commercial contracting experience for healthcare providers

  • Bachelor's degree in related field, or equivalent work experience, preferred

  • Juris Doctorate degree, preferred

  • License to practice law in Ohio or active bar license in another state, preferred

  • Knowledge of healthcare laws and industry, particularly Stark Law, is strongly preferred

  • Strong preference for candidates with prior experience handling physician employment agreements, management service agreements, vendor contracts (e.g. revenue cycle management agreements, electronic medical record vendors) and other complex agreements

Anticipated salary range: $121,600 - $173,700
